Dear Sir or Madam,
Following the activation of our foundation in the last quarter of 2025 with funds provided by Mr. Pfisterer, I would like to share some background information on the occasion of our first public appearance. The more than 100-year-old PFISTERER corporate group was decisively shaped by Karl-Heinz Pfisterer, grandson of the company's founder, during his active tenure as Managing Partner and Chairman of the Board (1981 to 2003). He internationalized the insulation and connection of highly efficient power connections and, through an expansion of the product range into a technology company, contributed to substantial growth.
As early as 2003, the separation of family management and capital was initiated. Mr. Pfisterer moved to the Supervisory Board and stepped down as the last family member in the summer of 2023, following the company's conversion into an SE.
As he has no children of his own, it was an early concern for him and his wife Anneliese to establish a sound succession plan in good time. His shares in the company are intended to later benefit a foundation. This foundation is meant to support the care of severely ill and traumatized children and adolescents, and to promote highly gifted young people. Named after Karl-Heinz and Anneliese Pfisterer, the KAP Foundation was established several years ago.
The IPO of PFISTERER Holding SE in spring 2025 was therefore not only an important pillar of the succession plan, but also a key milestone for the KAP Foundation in Balingen. Having led something of a "shadow existence" until then, Karl-Heinz Pfisterer provided the KAP Foundation with several million euros from the proceeds of the IPO. This made it possible to begin charitable activities.
In addition to the scope for the use of funds defined in its statutes, a charitable foundation requires an experienced executive board and a board of trustees. At the start of our work, it was therefore necessary to establish organizational foundations for the investment of funds, rules of procedure, a logo of our own, and preparations for a website.
In its meetings at the end of 2025 and in spring 2026, the Board of Trustees made initial decisions on the allocation of funds. Grants have already been made to the children's and youth hospice in Stuttgart, to the AGAPEDIA Foundation founded by Jürgen Klinsmann for the out-of-school care of disadvantaged children in Germany and Europe, to the ZIS Foundation for Study Travel, which awards scholarships to deserving young people for trips abroad with individual themes, budgets and reports, and to the Gesellschaft der Freunde (GdF) JAZZ OPEN Stages in Stuttgart to support young talent in jazz.
Further uses of funds are already in preparation, and we are pleased to be able to set an example now and in the future — in times of economic difficulty and increasingly scarce public funding — by providing fitting support both to children and young people facing severe hardship and to those with great potential.
For this, the Board of Trustees and the Executive Board are deeply grateful to the founder and his wife.
It is intended that the KAP Foundation will become the legal successor to the shares held by Mr. Pfisterer, thereby also preparing the succession plan with regard to capital. This sets us apart from many non-listed family businesses.
